SURFACE TRANSPORTATION BOARD

The Surface Transportation Board yesterday issued a decision that instructs Canadian National Railway (CN) and Kansas City Southern Railway (KCS) to submit for review certain documents referenced in the applicants’ merger agreement for purposes of the Board’s consideration of their request for approval of a proposed voting trust.  The applicants must submit these documents by June 14, 2021.

In accordance with the Board’s major merger regulations, which provide for public comments on the voting trust and replies by the applicants, the Board set June 28 as the deadline for comments and July 6 as the deadline for the applicants’ reply.  The Board also clarified that it would consider previously-filed comments related to the voting trust.
